1. Agreement overview
   These Terms of Service (“Terms”) constitute a legal agreement between you (“you” or “User”) and Say Wishes (“we”, “us”, or “Company”) governing your use of our video customization, production, and digital delivery services at www.wishesvideo.com. By placing an order, paying for services, or using our Services, you accept and agree to these Terms.
2. Definitions

• 2.1“Services” means the video customization, production, and digital delivery services we provide, together with related account and order functions.
• 2.2“Order confirmation” means the email we send after we receive full payment and confirm required materials have been submitted.
• 2.3“Materials” means images, text, audio, and other assets you upload to support production.

3. Formation of the agreement
   A binding agreement is formed when we receive full payment and your required Materials are successfully submitted and accepted. If Materials fail to upload or payment is not processed, we will refund any payment received within 3–7 business days and no agreement will be formed.
4. Performance & delivery
   4.1 We will begin processing your order within one business day of order confirmation and will produce and deliver the finished video in accordance with your confirmed requirements.
   4.2 Delivery is digital only — delivered as an HD MP4 file to the email address you provided. See our Delivery Policy for full details and timeframes.
5. Pricing & payment
   All prices displayed include applicable U.S. sales taxes where required. We accept the payment methods shown at checkout. If a payment fails due to our system error or because the order did not form, we will refund the payment within 3–7 business days.
6. No automatic right of withdrawal
   Our videos are custom digital products made to your specifications. Under applicable rules for custom digital content, users generally do not have an unconditional right to cancel after purchase. Please review previews and order details carefully before payment.
7. Revisions, complaints, and refunds
   7.1 If you are dissatisfied with delivered content, contact support@wishesvideo.com within 14 business days with your order number and supporting evidence; we will respond within 3 business days with proposed remedies (edit, re-shoot, or refund assessment).
   7.2 Refunds and cancellations are governed by our Refund Policy. Expedited (rush) fees may be refunded if we fail to meet the agreed expedited deadline—see the Delivery Policy and Refund Policy for details.
   7.3 We may charge for rework when issues arise from incorrect or ambiguous Materials you provided.
8. Storage & resends
   8.1 We retain order records and backups for up to 12 months from delivery to support resend requests and customer service; after 12 months backups will be deleted and cannot be restored.
   8.2 You are responsible for downloading and backing up delivered files; do not rely on long-term storage on our platform.
9. User warranties & permitted uses
   9.1 You warrant that you own or have the right to use and license all Materials you upload and that Materials do not infringe third-party rights. You will indemnify us for any claim arising from your breach.
   9.2 You grant us a non-exclusive, royalty-free, worldwide license to use Materials solely to produce your video.
   9.3 Delivered videos are licensed for personal, non-commercial use only. Commercial use requires our prior written permission and may incur additional licensing fees.
10. Content restrictions & enforcement
    You must not submit illegal, obscene, hateful, defamatory, or otherwise prohibited content. We may refuse, remove, or require modification of content that violates these Terms or applicable law.
11. Intellectual property
    We and our licensors retain IP rights in the site, production tools, interface designs, and our creative output. You retain IP in the Materials you supply, subject to the limited license you grant us. Additional rights to use delivered video for commercial purposes require our prior written consent.
12. Privacy
    We process personal data to provide Services; see our Privacy Policy for details on data collection, use, retention, and rights.
13. Warranty & limitation of liability
    13.1 We warrant that delivered videos will be free from material defects for 30 business days after delivery; material defects will be corrected or otherwise remedied per our policies.
    13.2 Except where prohibited by law, our aggregate liability for any claim will not exceed the fees paid for the affected order. We are not liable for indirect, incidental, consequential, or special damages to the fullest extent permitted by law.
14. Termination & enforcement
    We may suspend or terminate accounts that breach these Terms or engage in abusive or fraudulent activity. We may remove content and cooperate with legal authorities as required.
15. Governing law & disputes
    These Terms are governed by the laws of the United States. Any disputes arising from or relating to these Terms shall be resolved in the courts located in the United States.
16. Changes to the Terms
    We may update these Terms for legal, business, or service reasons. Updated Terms will be posted on our website with an “Update Date”. Continued use after posting indicates acceptance.
