1. General Provisions

1.1 These Terms of Service (hereinafter referred to as "these Terms") constitute a legally binding agreement between Say wishes (hereinafter referred to as "we" or "us") and you (hereinafter referred to as "you" or "User"), governing your use of our video customization, production, and delivery services. By placing an order with us, you confirm, agree to, and comply with all provisions of these Terms.

1.2 For the purpose of these Terms:

• "User" or "you" means a natural person or an entity (acting through its authorized representative) that accesses, registers on, or uses the website www.wishesvideo.com and our services;

• "Services" means the video customization, production, and delivery services provided by us, together with supporting functions including account registration, order placement, and order management.

1.3 Prior to placing an order, using the website, or submitting requests via the contact form, you shall have the right to access the full text of these Terms. Upon completion of order submission and payment, you are deemed to have fully read, thoroughly understood, and agreed to all contents of these Terms.

2. Scope of Application

2.1 These Terms apply to: your access and use of the website www.wishesvideo.com; the registration, maintenance, and use of your account; your application for and use of video customization services; all orders placed by you; and all legal relationships arising from your use of our Services.

2.2 These Terms also apply to subsequent additional orders, supplementary agreements, and new service commitments between you and us, which shall take effect without the need for separate written execution by both parties.

2.3 When registering an account or placing an order, we will request you to "accept these Terms of Service" via page pop-ups, confirmation buttons, or other prominent notifications. In both scenarios, you may view the full text of these Terms and save a copy for reference using the on-page printing function.

3. Formation of the Agreement

3.1 We will provide you with a service quotation in the online order process based on your specific requirements (such as video scenario, language, and material specifications). If alternative quotation methods apply (e.g., customized solution consultations), we will notify you in writing (including via email).

3.2 You may accept our quotation by completing payment in the order process. Upon our receipt of full payment, the order will be confirmed and take effect, and the agreement between you and us will be formed, subject to the condition precedent that the video materials you upload are successfully submitted. If the material upload fails, we will refund the full payment to your original payment account within 3-7 business days, and no agreement shall be formed.

3.3 Within 1 business day after order confirmation, we will send an order confirmation email to the email address you provided when placing the order. If you require an invoice, you may note this in the confirmation email or contact customer service to request one, and we will send an electronic invoice to your email address within 3 business days.

4. Performance of the Agreement and Delivery

4.1 Upon formation of the agreement and successful upload of materials, we will immediately initiate the order processing procedure and proceed with video production in strict accordance with your confirmed requirements (including text content, image materials, and delivery standards).

4.2 Delivery timeframe:

• Regular delivery timeframe: 1-2 business days from the date of order confirmation.

• Expedited delivery service: If you select the expedited service (subject to additional expedited fees), the delivery timeframe will be shortened to within 24 hours (specific details shall be subject to the provisions in the order confirmation email).

4.3 During the order configuration phase, you may preview the basic presentation of the video (such as text layout and image placement) on the website page. An overview of order details (including service content, price, and delivery timeframe) will be displayed on the checkout page (prior to payment); please carefully verify all information before submitting payment.

4.4 Upon completion of video production, we will send the high-definition MP4 video to the email address you provided when placing the order. Please check your email inbox, spam folder, and other categorized folders to avoid missing the email due to misclassification.

5. Pricing and Payment

5.1 All prices displayed on our website include applicable sales tax in compliance with U.S. tax laws, with no hidden fees. If price adjustments are required due to changes in tax rates or service content, we will post a notice on the homepage of the website www.wishesvideo.com 7 business days in advance.

5.2 Accepted payment methods: PayPal, VISA, Mastercard, American Express (Amex), Discover, Diners Club, UnionPay, Google Pay, Apple Pay, Klarna, and Sofort (specific payment methods shall be subject to those displayed on the order page in real time).

5.3 If payment fails to reach our account due to system errors on our side, or if no agreement is formed due to material upload failure, we will verify the issue and refund the full payment to your original payment account within 3-7 business days. You may inquire about the refund progress via our official email.

6. No Right of Withdrawal

6.1 The videos we provide are personalized digital products "customized to your exclusive specifications" (not pre-made generic products). In accordance with the regulations of the U.S. Federal Trade Commission (FTC) and applicable state laws, you shall have no right of withdrawal (i.e., the "no-questions-asked cancellation" rule does not apply).

6.2 To ensure the accuracy of your requirements, we have implemented multiple verification steps in the order process (including requirement confirmation, preview verification, and checkout overview). You may use these steps to fully verify the order information and avoid discrepancies in requirements.

7. Compliance and Complaint Handling

7.1 If you are dissatisfied with the order result (such as video content, quality, or delivery timeliness) or our Services, you must submit feedback via support@wishesvideo.com within 14 business days of receiving the video, attaching your order number and relevant supporting materials (e.g., screenshots of incorrect video segments). We will communicate with you to propose a solution (such as content revision or re-production) within 3 business days.

7.2 We shall have no obligation to provide free solutions if the dissatisfaction arises from "errors in the information you submitted" (such as text typos, inconsistent image materials, or ambiguous requirement descriptions). A reasonable fee for re-production will be charged based on the difficulty of modification and workload.

8. Video Storage and Management

8.1 Our Services do not include the "long-term video storage" function: order-related records (including requirement documents, delivery confirmations, and communication logs) will be retained for 3 months only, after which they will be permanently deleted using irreversible technology. We do not retain any backups of delivered video files.

8.2 We will take reasonable measures to ensure the video is delivered within the agreed timeframe. However, you shall be responsible for backing up the video files to your personal storage media (such as computers or cloud drives). We shall not be liable for the loss of videos or related data (e.g., accidental deletion by you, device malfunctions, or issues with third-party platforms).

8.3 If you accidentally lose the delivered video, you may contact customer service to request a free re-send within 1 year of receiving the video (subject to verification by providing the order number). No re-send services will be provided after 1 year.

9. Rules of Use

9.1 You warrant that any images uploaded to our service platform via your account do not infringe any third-party rights, including but not limited to intellectual property rights (copyrights, trademarks, patents, design rights, trade secrets), privacy rights, portrait rights, and reputation rights. If any third party claims against us due to infringement caused by the images you uploaded, you shall bear full responsibility (including compensation, litigation fees, and attorney fees).

9.2 You warrant that the uploaded images and customization requirements do not violate any applicable U.S. laws (including criminal laws), mandatory regulations, public order, or public morals, and do not contain illegal or inappropriate content (such as insulting content, politically sensitive content, religiously sensitive content, violent content, or pornographic content).

9.3 You warrant that our processing of orders and performance of the agreement based on your requirements will not infringe third-party rights or violate the provisions of Sections 9.1 and 9.2 of these Terms.

9.4 You warrant that the images uploaded to our service platform do not contain viruses, malware, Trojans, or other content that may damage our service systems or disrupt the normal operation of our Services. You shall not use our Services by means of hacking, sending spam, or in any way that impairs the integrity or security of our website and Services.

9.5 You agree to indemnify and hold us harmless from all claims, costs, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from or in connection with your breach of these Terms.

9.6 If you breach these Terms, or if we have reasonable grounds to suspect that you have committed a breach, we shall have the right to unilaterally terminate the agreement, delete or suspend your uploaded images, freeze your account, and report the matter to relevant U.S. regulatory authorities. We shall not be liable for any losses arising therefrom (such as your inability to receive the video or non-refund of paid fees).

10. Service Availability

10.1 We will use our best efforts to ensure the continuous availability of our Services. However, we shall not be liable for any losses or damages caused by service interruptions or suspensions due to system maintenance, security updates, technical upgrades, or events beyond our control (such as natural disasters, network outages, or third-party service failures). Except for emergency maintenance, we will notify you via website announcements or emails 48 hours in advance.

10.2 To use our Services, you must have a device with internet access and use an up-to-date version of a mainstream browser (such as Chrome, Safari, or Edge). You shall be responsible for implementing adequate security measures for your devices and software (such as installing antivirus software and updating the system regularly).

10.3 We shall not be liable for your devices or software, nor for any errors or data loss occurring during the transmission of digital files (images, videos) via networks or communication facilities not controlled by us (such as internet service providers or third-party transmission platforms).

11. Intellectual Property Rights

11.1 All intellectual property rights related to our website, video production tools, applications, interface designs, and supporting technologies (including proprietary technology) belong exclusively to us. Such rights include but are not limited to copyrights, trademarks, database rights, design rights, and patent application rights. Without our prior written permission, you shall not copy, modify, adapt, distribute, reverse-engineer, decompile, or use such content for commercial purposes.

11.2 We shall have the right to implement technical measures (such as watermarking, encryption, and access control) to protect our intellectual property rights. You shall not remove, bypass, or disable such measures, nor shall you engage third parties to do so.

11.3 You retain all intellectual property rights in the images you upload. However, you grant us a "non-exclusive, royalty-free, worldwide, and irrevocable license" to use such images for the purpose of customizing videos for you (including production, editing, and export of videos). You warrant that you have full authority to grant such a license and that the license does not infringe any third-party rights.

11.4 The intellectual property rights in the finished videos produced by us belong exclusively to us. You may only use the videos for "personal non-commercial purposes" (such as gifting to relatives and friends or personal commemoration). Without our prior written permission, you shall not copy, distribute, adapt, use the videos for commercial purposes (such as advertising or commercial events), or authorize third parties to use the videos.

12. Privacy Protection

12.1 By accepting these Terms, you explicitly consent to our processing of your personal information (such as name, email address, payment information, and uploaded images) for the purposes of "performing the agreement", "providing Services", and "complying with legal obligations". You may withdraw your consent at any time, but such withdrawal shall not affect the lawfulness of the information processing conducted prior to the withdrawal.

12.2 You shall bear full responsibility for the video materials you provide and the "information of third parties to whom the video is to be sent" (such as the email addresses of relatives and friends). We, as a data processor, will process such information strictly in accordance with your instructions and our Privacy Policy.

12.3 Minors under the age of 13 may use our Services and place orders only with the prior written consent of their legal guardians. Legal guardians shall bear full responsibility for the minor's use of the Services and the information submitted by the minor.

13. General Notes on Internet Usage

13.1 Although both you and we have certain control over accounts and Services, the openness of the Internet means that some risks cannot be fully avoided. For example, third parties with whom you share the video may save the video via screenshots, screen recording, or downloading—even after you have deleted the video from your own device. You fully understand and acknowledge this risk, and we shall not be liable for it.

14. Warranties and Limitation of Liability

14.1 We warrant that the delivered video will be free from "material and workmanship defects" (such as blurry quality, inability to play normally, or serious inconsistency with the requirements you confirmed) within 30 business days of your receipt of the video. If such defects exist, you may contact customer service to request free re-production or a refund of the corresponding fees.

14.2 Except for the express warranty specified in Section 14.1, we make no other express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

14.3 To the maximum extent permitted by applicable U.S. laws, we shall not be liable for any indirect, incidental, consequential, special, or punitive damages, whether such damages arise from breach of contract, tort (including negligence), or other causes, and whether we have foreseen or should have foreseen the possibility of such damages.

14.4 Regardless of the legal basis, our total liability to you shall not exceed the total service fees you paid for the specific order giving rise to the claim.

15. Miscellaneous

15.1 These Terms constitute the entire agreement between you and us with respect to the Services, superseding all prior oral or written agreements, communications, and understandings. If any provision of these Terms is deemed invalid or unenforceable by a court or arbitral tribunal with jurisdiction, the remaining provisions shall remain in full force and effect.

15.2 We may revise these Terms due to changes in applicable laws, business adjustments, or service upgrades. The revised Terms will be posted in a prominent position on the homepage of the website www.wishesvideo.com, marked with an "Update Date". Your continued use of our Services after the revision of these Terms shall be deemed your acceptance of the revised Terms.
